On December 22, 2009, 1st Constitution Bancorp issued a press release announcing that its Board of Directors approved a 5% stock dividend payable February 3, 2010 to shareholders of record as of January 19, 2010.  A copy of the press release is attached and is being furnished as Exhibit 99.
