The 2019 Annual Meeting of the Stockholders of Allegheny Technologies Incorporated (“ATI”) will be held on May 9, 2019 at the UPMC Events Center on the campus of Robert Morris University, 6001 University Boulevard, Pittsburgh, Pennsylvania 15108 at 11:30 a.m. Eastern Time.

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

The Board of Directors recommend a vote FOR all the nominees listed and FOR Proposals 2 and 3:

Advisory vote to approve the 2018 compensation of ATI’s executive officers.
