Item 2.02 Results of Operations and Financial Condition.

On February 11, 2016, FireEye, Inc. (“FireEye”) issued a press release and will hold a conference call regarding its financial results for the fourth quarter and year ended December 31, 2015. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.

The information set forth under this Item 2.02, including Exhibit 99.1, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.

FireEye is making reference to non-GAAP financial measures in both the press release and the conference call. A reconciliation of these non-GAAP financial measures to the most directly comparable GAAP financial measures is contained in the press release.

 

Item 5.02 Election of Directors.

On February 9, 2016, the Board of Directors of FireEye (the “Board”) appointed Kevin R. Mandia to serve as a member of the Board, effective immediately. Mr. Mandia will serve in the class of directors whose term expires at the annual meeting of stockholders to be held in 2016.

Mr. Mandia, age 45, has served as FireEye’s President since February 2015. He previously served as FireEye’s Senior Vice President and Chief Operating Officer from the date of FireEye’s acquisition of Mandiant Corporation, or Mandiant, in December 2013 through February 2015. Prior to joining FireEye, Mr. Mandia was the Chief Executive Officer of Mandiant and had served in that capacity since he founded Mandiant in 2004. Prior to forming Mandiant, Mr. Mandia served as the Director of Computer Forensics at Foundstone (later acquired by McAfee Corporation) from 2000 to 2003 and as the Director of Information Security for Sytex (later acquired by Lockheed Martin) from 1998 to 2000. From 1993 to 2000, Mr. Mandia was an officer in the United States Air Force, where he served in various capacities, including as a computer security officer in the 7th Communications Group at the Pentagon, and later as a special agent in the Air Force Office of Special Investigations (AFOSI). Mr. Mandia holds a B.S. in Computer Science from Lafayette College and an M.S. in Forensic Science from The George Washington University. In 2011, Mr. Mandia was named Ernst & Young Entrepreneur of the Year for the Greater Washington area. He completed the Harvard Business School’s Owner/President Management Program in February 2013. Mr. Mandia has taught graduate level courses at Carnegie Melon University and The George Washington University and has co-authored two books on responding to security breaches: Incident Response: Performing Computer Forensics (McGraw-Hill, 2003) and Incident Response: Investigating Computer Crime (McGraw-Hill, 2001).

There is no arrangement or understanding between Mr. Mandia and any other persons pursuant to which Mr. Mandia was selected as a director. There are no transactions involving Mr. Mandia that would require disclosure under Item 404(a) of Regulation S-K. As an employee director, Mr. Mandia will not receive any compensation for his service on the Board.

On February 9, 2016, the Board appointed Enrique Salem, an independent director of FireEye, to serve as the Lead Independent Director of the Board.
