Item 8.01. Other Events.

On December 1, 2014, Medtronic, Inc. issued a press release announcing that it priced the offering of $17 billion in aggregate principal amount of seven tranches of its senior notes. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
