Covidien Acquisition: What’s the “big deal” about the deal structure?

You may have noticed more discussion about the structure of the Covidien acquisition transaction than you typically see regarding the structure of other Medtronic acquisitions. This is partly because Covidien is by far the largest acquisition Medtronic has ever made. The result will be a single organization with nearly $27 billion in revenues and more than 87,000 employees – all focused on the Medtronic Mission to alleviate pain, restore health and extend life for patients around the world.

 

The combined organization will be called Medtronic plc and the structure of the acquisition involves a transaction known as an “inversion.” Medtronic plc will be a new holding company incorporated in Ireland, and have its principal executive offices in Ireland while continuing to have its executive leadership team and operational headquarters in Minnesota, where Medtronic currently employs more than 8,000 people.

After the Covidien acquisition, all of the Medtronic group’s U.S. income will continue to be subject to the same U.S. taxes as currently. Medtronic chose this deal structure for the acquisition to have access to all Covidien cash generated outside the U.S. without incurring an additional tax to invest the cash in the U.S. This has allowed Medtronic to commit $10 billion of incremental investment into U.S. technology innovation over the next 10 years beyond current plans of both companies.

This is a complex deal structure and various news outlets have mischaracterized the facts. This information is intended to ensure you know the facts regarding the tax implications of the transaction for Medtronic.
