On March 21, 2013, The Hartford Financial Services Group, Inc. (“The Hartford”) issued (i) a press release announcing the early tender results of its previously announced tender offer to purchase for cash $800 million aggregate principal amount of senior debt and (ii) a press release announcing the pricing of the tender offer. The Hartford (together, with respect to certain senior debt, with Hartford Life, Inc.) is conducting the tender offer on the terms and conditions set forth in an Offer to Purchase, dated March 7, 2013 and, a related letter of transmittal.
Copies of the press releases are attached as Exhibit 99.1 and 99.2 to this report and are hereby incorporated by reference into this Item 8.01.
