Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 5, 2012, H. Katherine White, age 67, advised Sealed Air Corporation (the “Company”) of her decision to retire from the Company in 2013. Ms. White is the Vice President, General Counsel and Secretary of the Company and a “named executive officer” for whom disclosure was required by the Company in its most recent proxy statement pursuant to Item 402(c) of Regulation S-K.

No particular date has been set for Ms. White’s retirement, nor has a successor been named for her position as chief legal officer. Until such time as a successor is named and a retirement date is set which ensures a smooth transition, Ms. White will continue to serve as chief legal officer of the Company.
