Underwriting Agreement
On September 18, 2012, FMC Technologies, Inc. (the Company) entered into an Underwriting Agreement (the Underwriting Agreement) with J.P. Morgan Securities LLC and Wells Fargo Securities, LLC, as representatives of the several underwriters named therein (the Underwriters), relating to the public offering of $300 million aggregate principal amount of the Companys 2.00% Senior Notes due 2017 (the 2017 Notes) at a price to the public of 99.767% and $500 million aggregate principal amount of the Companys 3.45% Senior Notes due 2022 (the 2022 Notes and, together with the 2017 Notes, the Notes) at a price to the public of 99.915%. The offering of the Notes was made pursuant to a Registration Statement on Form S-3 (File No. 333-183953) which became effective upon filing with the Securities and Exchange Commission on September 18, 2012.
The offering of the Notes is scheduled to close on September 21, 2012. The Company intends to use the net proceeds from the offering of the Notes of approximately $792.9 million (after deducting underwriting discounts and commissions and other estimated expenses payable by the Company) to repay outstanding commercial paper and indebtedness under its revolving credit facility.
The Underwriting Agreement contains customary representations, warranties and agreements by the Company and customary conditions to closing, indemnification obligations of the Company and the Underwriters, including for liabilities under the Securities Act of 1933, as amended (the Securities Act), other obligations of the parties and termination provisions.
