Section 8 – Other Events

Item 8.01. Other Events

On January 26, 2012, LSB Industries, Inc. (the “Company”) declared cash dividends payable on March 31, 2012, on its outstanding Series B Preferred and Series D Preferred as follows: (a) $12.00 per share on the outstanding shares of Series B Preferred, representing an aggregate dividend of $240,000; and (b) $.06 per share on the outstanding shares of Series D Preferred, representing an aggregate dividend of $60,000. The amount of the dividend declared for each series of preferred was pursuant to the terms of such preferred. The record date for each dividend is March 17, 2012. The Company intends to fund the payment of these dividends using its working capital. Upon the payment of these dividends, the Company will have no accrued and unpaid dividends due on its Series B Preferred and Series D Preferred.

All outstanding shares of the Series B Preferred and Series D Preferred are owned by Jack E. Golsen, the Company’s Chairman of the Board and CEO, members of his immediate family (spouse and children), including Barry H. Golsen, the Company’s Vice Chairman and President, entities owned by them and trusts for which they possess voting or dispositive power as trustee.

On January 26, 2012, the Company set the date for the Annual Meeting of Stockholders as May 24, 2012, with a record date of April 11, 2012.
