Just prior to the merger, when the one-time special dividend is issued to ITC shareholders, what will be the impact to employees stock options?
Also, how will this affect employees restricted stock?
ITC expects to effectuate a $700 million recapitalization prior to the merger. This recapitalization is currently anticipated to take the form of a one-time special dividend to shareholders, although the final decision as to the form of the recapitalization will not be made until a later date. In the event a special dividend is paid, each share of common stock will be entitled to the same dividend regardless of whether such share is restricted.
The effect of a special dividend on employees stock options is not yet known. Upon a recapitalization event such as the special dividend, the Compensation Committee of the Companys Board of Directors may make adjustments to employees stock options previously issued by the Company as it deems appropriate. The Compensation Committees decision on any potential adjustments to employees stock options will not be made until a later date and employees will be informed of any potential adjustments in a timely manner.
