Other Events

The Company issued a press release on October 16, 2008 announcing (1) the declaration of a quarterly cash dividend of $0.05 per share on its outstanding common stock and (2) the purchase of the former Greater Buffalo Savings Bank branch office located on Delaware Avenue in Kenmore, New York. The dividend is payable on November 14, 2008 to shareholders of record as of October 30, 2008. A copy of the press release is attached as Exhibit 99.1 hereto.
