ITEM 8.01. OTHER EVENTS

On August 6, 2008, Environmental Power Corporation (the “Registrant”) filed a shelf registration statement on Form S-3 with the Securities and Exchange Commission relating to the possible issuance, from time to time, of the Registrant’s debt securities in an aggregate offering amount of up to $50,000,000.

A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective. This Current Report on Form 8-K shall not constitute an offer to sell or the solicitation of an offer to buy any securities nor shall there be any sale of any securities in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state.
