REPORT ON FORM 6-K
The Company informs that some of its directors who are also directors of Banco Hipotecario are subject to two proceedings (a “sumario”) initiated by the CNV to them on July 22 and on August 25, 2005 in connection with certain payments made in 2005 to the members of Banco Hipotecario executive committee under their Management Compensation Plan. The Banco Hipotecario Shareholders’ Meeting held last August 31 ratify and approved such payments and all the measures taken by the directors in connection with the payments. Notwithstanding the foregoing, the Company believes that such proceedings would not have a material adverse effect on its directors or impact in the Company results and operations.
