Item 7.01 Regulation FD Disclosure.

On May 21, 2007 Whitestone REIT issued a press release announcing that its Board of Trustees has approved a dividend of $0.15 per common share for the second quarter of 2007.

The dividend is payable in three monthly payments of $.05 per share. Dividend payments will be made on or about on or about the first day of July, August, and September.

A copy of the press release is furnished herewith as Exhibit 99.1 to the Current Report on Form 8-K and is incorporated herein by reference.
