Item 2.02. Results of Operations and Financial Condition.

On January 5, 2009, Measurement Specialties, Inc. (the "Company") issued a press release announcing its expected sales results for the three months ended December 31, 2008 and its updated sales guidance for the fiscal year ended March 31, 2009. The full text of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
