Item 2.02        Results of Operation and Financial Condition.
 
On February 3, 2009, Investors Bancorp, Inc. (the “Company”) issued a press release reporting its financial results for the quarter ended December 31, 2008. The press release contained incorrect weighted average shares outstanding amounts for the six month period ended December 31, 2008 on the consolidated statements of operations resulting in incorrect basic loss per share for that period. On the selected financial ratios and other data table, Total and Tier 1 risked based capital ratios were understated for December 31, 2008. Attached as Exhibit 99.1 to this report is a revised press release reflecting corrected amounts and is being furnished to the SEC and shall not be deemed “filed” for any purpose.
