Results of Operation and Financial Condition.
 
On July 29, 2008, Investors Bancorp, Inc. (the “Company”) issued a press release reporting its financial results for the quarter and year ended June 30, 2008. A copy of the press release was attached as an Exhibit to the Current Report on Form 8-K filed on July 29, 2008. The press release contained incorrect outstanding share amounts on the consolidated balance sheets. Attached as Exhibit 99.1 to this report is a revised press release reflecting corrected outstanding share amounts. There were no other changes to the press release. This information is being furnished to the SEC and shall not be deemed “filed” for any purpose.
