Item 2.01 Completion of Acquisition or Disposition of Assets.

On September 29, 2005, Shells Seafood Restaurants, Inc. (the “Registrant”) completed a sale and leaseback transaction with Fortress Realty Investments, LLC, pursuant to which the Registrant sold and simultaneously leased back a Shells Seafood Restaurant location at 1561 3rd Street in Winter Haven, Florida at a sale price of approximately $1.67 million.
