Item 3. Source and Amount of Funds or Other Consideration:

         Mr. Carnahan acquired all of his shares in CYIOS Corporation as a result of the CYIOS merger September, 19, 2005.


Item 4. Purpose of Transaction

         All of the shares acquired by Mr. Carnahan are for investment purposes. Mr. Carnahan may, from time to time, depending on market conditions and other investment considerations, purchase additional shares of common stock for investment purposes or dispose of shares of common stock. As a director, CEO, President of the Company, Mr Carnahan regularly explores potential actions and transactions that may be advantageous to the Company, including but not limited to, mergers, acquisitions, reorganizations or other materal changes in the business, corporate structure, management, polices, governing instruments, capitialization, securities or regulatory or reporting obligations of the company. Except as noted above, Mr. Carnahan has no plans or proposals that relate to or would result in:

The acquisition by any person of additional securities of the issuer, or the disposition of securities of the issuer;


(b)

An extraordinary corporate transaction, such as a merger, reorganization or liquidation, involving the issuer or any of its subsidiaries;

A sale or transfer of a material amount of assets of the issuer or any of its subsidiaries;

Any change in the present board of directors or management of the issuer, including any plans or proposals to change the number or term of directors or to fill any existing vacancies on the board;

Any material change in the present capitalization or dividend policy of the issuer;

Mr. Carnahan has not acquired any shares of Company common stock since his initial acquistion of his shares as a result of the CYIOS merger September, 19, 2005.
