Explanatory Note.  This Current Report on Form 8-K/A amends the Current Report on Form 8-K (the “Original Form 8-K”) filed by PNM Resources, Inc. (“PNMR”) and PNMR’s wholly owned subsidiary, Public Service Company of New Mexico (“PNM”), on August 19, 2005, in connection with an amended and restated credit agreement (“Amended PNMR Credit Agreement”) entered into by PNMR on August 15, 2005, and a credit agreement (the “PNM Credit Agreement”) entered into by PNM on August 17, 2005.   Copies of the Amended PNMR Credit Agreement and the PNM Credit Agreement (the “Previously Filed Agreements”) were filed as Exhibits 10.1 and 10.3, respectively, to the Original Form 8-K.

The Previously Filed Agreements did not include the schedules and exhibits to those agreements.  The purpose of this Form 8-K/A is to include the schedules and exhibits to the Previously Filed Agreements.  For convenience of the reader, we are also refiling the Previously Filed Agreements.  No other matters are being reported and this Form 8-K/A does not otherwise make any changes to the Original Form 8-K.  Copies of the Amended PNMR Credit Agreement and the PNM Credit Agreement, with the schedules and exhibits thereto, are filed herewith as Exhibits 10.1 and 10.3, respectively.
