Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 18, 2007, the Board of Directors of PNM Resources, Inc. (“PNMR”) elected Robert R. Nordhaus as its newest member.  Mr. Nordhaus joins the Board of Directors as its ninth member, effective September 18, 2007, and has been named to the Finance Committee and the Governance and Public Policy Committee.

As a non-employee director, Mr. Nordhaus will receive the annual retainer in the form of cash and stock-based compensation, as well as expense reimbursement, that PNMR’s non-employee directors are entitled to receive.  No specific grant or award was made to Mr. Nordhaus in connection with his election to the Board of Directors.

On September 18, 2007, PNMR issued a press release announcing the above election.  The press release is furnished herewith as Exhibit 99.1 and incorporated by reference herein.
