Item 1.01 Entry into a Material Definitive Agreement.

           On August 17, 2005, the Human Resources and Compensation Committee (the "Committee") of the Board of Directors of PNM Resources, Inc. ("PNMR") took action with respect to the base salary of Alice A. Cobb, Senior Vice President and Chief Administrative Officer of PNMR.  Ms. Cobb is a "named executive officer" of PNMR and has been a Senior Vice President since 2001.

          The Committee increased the annual base salary for Ms. Cobb from $225,000 to $270,000.  The reason for the increase in base salary is Ms. Cobb's performance of additional responsibilities undertaken over the last year, including most recently the responsibility for a new Supply Chain Management organization.
