(e) Amendment No. 1 to Amended and Restated Employment Agreement between MFA Financial, Inc. and Ronald A. Freydberg
On December 19, 2012, MFA Financial, Inc. (the “Company”) entered into Amendment No. 1 (the “Amendment”) to the Amended and Restated Employment Agreement, dated as of June 30, 2011 (the “Employment Agreement”), between the Company and Ronald A. Freydberg, an Executive Vice President of the Company.
The Amendment extends Mr. Freydberg’s term of employment under the Employment Agreement through December 31, 2013, and amends certain other provisions of the Employment Agreement to reflect the extension of such term.
A copy of the Amendment is attached hereto as Exhibit 10.1. The above description of the principal terms of the Amendment is a summary only and is qualified in its entirety by reference to Exhibit 10.1 hereto, which is incorporated by reference into this Item 5.02. Except as provided in the Amendment, all other terms and provisions of the Employment Agreement remain unchanged. A copy of the Employment Agreement may be found as Exhibit 10.2 to the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on July 7, 2011.
