EXPLANATORY NOTE

 

Minnesota Mining and Manufacturing Company, now known as 3M Company (the “Company”), filed with the Securities and Exchange Commission a registration statement on Form S-8, Number 33-48690, on June 16, 1992 (the “Registration Statement”), to register common shares of the Company (the “Securities”) to be offered under the Company’s 1992 General Employees Stock Purchase Plan (the “Program”).

 

The purpose of this Post-Effective Amendment No. 1 to the Registration Statement is to deregister such portion of the Securities, previously registered under the Registration Statement, which have not been sold as of the date this Amendment is filed.
