(e) At the meeting of the Compensation Committee of the Board of Directors of 3M Company held on February 10, 2008, an amended 3M Deferred Compensation Plan was adopted. This amendment is designed to enable executives participating in 3M’s Performance Unit Plan to defer the payout of their awards made in the form of performance shares payable in shares of 3M common stock, and to make the earnings credited on performance shares deferred under the Plan based on the performance of 3M common stock. The full terms of the amended Deferred Compensation Plan are attached hereto as Exhibit 10.1 and incorporated by reference herein.
