Item 5.02(d) Departure of Directors or Principal Officers: Election of Directors: Appointment of Principal Officers.
 
On July 16, 2009, the Board of Directors of Citizens First Corporation (the “Company”) appointed M. Todd Kanipe as director of the Company and of Citizens First Bank, Inc.  Mr. Kanipe resides in Bowling Green, Kentucky, and is President of Citizens First Bank, Inc. and Citizens First Corporation.  Mr. Kanipe will be serving on the Loan Committee of the Board of Directors of the Company.
