Item 1.01     Entry into a Material Definitive Agreement.

    On August 30, 2006, the Company executed Indemnification Agreements (“Agreements”) between American Community Properties Trust (“ACPT” or the “Company”) and each of its four Independent Trustees (the “Indemnitee”). These Agreements provide for indemnification, to the maximum extent provided by Maryland law in effect from time to time, against judgments, penalties, fines, settlements and reasonable expenses actually incurred by or on behalf of the Indemnitee. Certain actions related to deliberate dishonesty, receipt of improper benefit or known unlawful acts or omissions are not covered by these Indemnification Agreements. The indemnification extends during the period the Indemnitee is a member of the Board of Trustees of the Company and shall continue thereafter related to matters that may subsequently arise which are related to the Indemnitee’s term of Corporate Status, as defined by the Agreement.
