Item 7.01        Regulation FD Disclosure
 
On December 16, 2009, Prudential Bancorp, Inc. of Pennsylvania (the "Company") issued a press release announcing the declaration by the Board of Directors on December 16, 2009 of a quarterly cash dividend of $0.05 per share of common stock.  The dividend is payable on January 25, 2010 to shareholders of record as of January 11, 2010.
 
On December 16, 2009, the Company also announced the approval by the Board of Directors of Prudential Mutual Holding Company (the "MHC") of its third purchase plan to purchase an additional 50,000 shares of the Company's common stock.  The MHC has completed its previously announced purchase plan covering 198,000 shares.
