SECTION 1 – REGISTRANT’S BUSINESS AND OPERATIONS

ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

Doral Energy Corp. (the “Company”) has entered into a loan agreement, dated as of May 9 2008, (the “Loan Agreement”) with Green Shoe Investments Ltd. (“Green Shoe”) for $100,000 (the “Principal Sum”). Under the terms of the Loan Agreement, the Company has agreed to pay interest to Green Shoe at a rate of 5% per annum, and to repay the loan on or before July 1, 2010.
