The Registrant's Quarterly Report on Form 10-QSB for the fiscal quarter
ended September 30, 2001 could not be filed without unreasonable effort
or expense within the prescribed time period because of the demands
placed on the Registrant's limited accounting staff due to the
preparation of an amendment to the Registrant's registration statement
on Form SB-2, along with amendments to the Registrant's 10-KSB and
previously-filed 10-QSBs for 2001.
