As of June 30, 2006, the aggregate market value of the registrant’s common stock held by non-affiliates of the registrant was $1,674.7 million, based on the last reported sale price of the common stock on the NASDAQ Global Select Market.

As of February 16, 2007, the number of outstanding shares of the registrant’s Common Stock was 40,748,837 (net of 5,718,606 treasury shares).

EXPLANATORY NOTE

 

EGL, Inc. is filing this Amendment No. 1 on Form 10-K/A (“Form 10-K/A”) to correct the number of outstanding shares of EGL’s common stock set forth on the cover page of our Annual Report on Form 10-K for the year ended December 31, 2006, as filed with the Securities and Exchange Commission on March 1, 2007 (“Form 10-K”).  The Form 10-K inadvertently included 5,718,606 treasury shares in the indicated number of outstanding shares.  As required by Rule 12b-15 promulgated under the Securities Exchange Act of 1934, as amended, EGL’s principal executive officer and principal financial officer are providing new Rule 13a-14(a) certifications in connection with this Form 10-K/A (but otherwise identical to their prior certifications) and are also furnishing, but not filing, new Rule 13a-14(b) certifications in connection with this Form 10-K/A (but otherwise identical to their prior certifications).


No attempt has been made in this Form 10-K/A to modify or update the other disclosures presented in the Form 10-K. This Form 10-K/A does not reflect events occurring after the filing of the Form 10-K or modify or update those disclosures, including the exhibits to the Form 10-K, affected by subsequent events. Information not affected by the amendment described above is unchanged and has not been included herein. Accordingly, this Form 10-K/A should be read in conjunction with the Form 10-K and our other filings made with the Securities and Exchange Commission.
