(1) | Assuming a recipient's continued employment (or death or disability while employed) and the satisfaction of certain performance goals is achieved, these awards would vest at the end of a three-year performance period that began on January 1, 2017 and ends on the last NYSE trading day of December 2019 (the "Performance Period"). At the end of the Performance Period, these restricted performance shares will vest only if the Company's return on invested capital (ROIC) is in the top 75th percentile of the Bloomberg Peer Group as shown by data published by Bloomberg upon the close of the NYSE market on the last day of the Performance Period. If that criterion is met, the awards shall fully vest and if that criterion is not met, then no shares shall vest and the award shall be forfeited. |
